Meet the Clyde Foods Team
Carl
Legal & Compliance Officer
About Carl
Carl is Clyde Foods’ Legal & Compliance Officer, a fictional internal company character responsible for contracts administration, compliance checklists, policy review, risk tracking, documentation, and asking uncomfortable questions before somebody turns a small problem into a very expensive one.
He approaches compliance with the deeply unfashionable belief that most problems are easier to manage before somebody creates evidence of them.
Carl prefers written agreements, clearly defined responsibilities, documented approvals, sensible operating rules, and enough advance warning to determine whether Clyde’s latest idea needs additional review before Clyde begins referring to it as company policy.
His background is intentionally described in practical terms rather than professional credentials: process review, contract administration, compliance coordination, recordkeeping, internal controls, dispute documentation, and the ordinary collection of disagreements that arise whenever several people read the same document and somehow arrive at entirely different conclusions.
Over time, he developed one particularly useful operating insight:
Most compliance problems begin considerably earlier than the point at which somebody notices them.
Carl joined Clyde Foods after the company reached a level of operational sophistication where relying entirely on confidence, precedent, and Clyde’s personal interpretation of the Terms of Service was no longer considered an adequate internal control.
His role is therefore partly documentation, partly policy review, and partly an early-warning system.
When someone proposes a new agreement, Carl wants to know what it says.
When someone proposes a new business arrangement, Carl wants to know who is responsible for what.
When Clyde proposes something, Carl generally wants considerably more information.
Carl lives in Loachapoka, Alabama, providing enough geographic separation from day-to-day Clyde Foods operations that he can credibly state he was not physically present for most of them.
He also maintains one unusually strong personal position:
Carl hates turtles.
His profile picture is a turtle.
No satisfactory explanation has been provided.
Several members of Clyde Foods have attempted to obtain one and discovered that Carl can turn a simple question into a twelve-item documentation request.
The matter is considered unresolved.
Despite appearances, Carl is not opposed to new ideas, unusual projects, unconventional business decisions, or calculated risk. Clyde Foods would be a particularly poor environment for someone who was.
He simply prefers that somebody identify the risk, document it, decide who owns it, and establish the appropriate internal controls before Clyde announces anything.
Carl is not here to stop innovation.
He is here to make sure innovation has a checklist, an owner, and written approval.
